1. Dispute Resolution

  1. Good Faith Negotiation
    In the event of any dispute, controversy, or claim arising out of or relating to the services provided by Brand Matic (“Agency”) or these Terms, both parties agree to first attempt to resolve the matter amicably through good faith negotiations.

  2. Mediation
    If the dispute cannot be resolved through negotiation within 30 days of written notice from one party to the other, both parties agree to attempt resolution through mediation by a mutually agreed neutral mediator before pursuing legal action.

  3. Arbitration
    Should the dispute remain unresolved after mediation, the matter shall be submitted to binding arbitration under the rules of [Insert Arbitration Institution, e.g., ICC, SIAC, or a local arbitration center].

    • The arbitration shall be conducted by a single arbitrator agreed upon by both parties.

    • The language of arbitration shall be English.

    • The decision of the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction.

  4. Jurisdiction for Injunctive Relief
    Notwithstanding the above, either party may seek injunctive or interim relief from a court of competent jurisdiction if necessary to prevent irreparable harm.


2. Governing Law

  • These Terms and all disputes arising from them shall be governed by and construed in accordance with the laws of [Insert Country/State, e.g., India / State of Maharashtra], without regard to its conflict of law principles.

  • Any legal proceedings relating to these Terms shall be brought exclusively in the courts located in [Insert City/State], and both parties consent to the jurisdiction of such courts.


3. Severability

If any provision of this section is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
